2. Sole Proprietorship
Not to be confused with the above, this is the most common form of business incorporation. It is also one of the most simple to obtain. The sole proprietorship is when an individual owns and conducts a business without necessarily forming an organization. The business can be conducted under a name that is different than the last name of an owners. In this case, an assumed name certificate should be filed with the office of the county clerk. This certificate is often known as a DBA, or “doing business as.” If no business premise is filed or maintained, then the DBA certificate has to be filed in every county where business is to be conducted under the other name.
